Terms of Use for SellPass University Course Hosting
Welcome to SellPass University!
By using this platform to host your courses, you agree to the following terms and conditions:
Content: You are solely responsible for the content of your courses, including any text, graphics, images, videos, and other materials that you upload to the SellPass University platform. You agree to comply with all applicable laws, regulations, and industry standards, and you acknowledge that SellPass University may remove any content that violates these terms of use or is otherwise inappropriate.
Intellectual Property: You retain ownership of all intellectual property rights in your courses, subject to the license granted to SellPass University and its users as described in these terms of use. By uploading content to SellPass University, you grant SellPass University and its users a non-exclusive, worldwide, royalty-free, perpetual, and irrevocable license to use, reproduce, distribute, display, and perform the content in connection with the SellPass University platform and its services.
User Accounts: You must create an account to use SellPass University. You agree to provide accurate and complete information when registering and to keep your account information up to date. You are responsible for maintaining the security of your account and password, and you agree not to share your account or password with anyone else. You agree to notify SellPass University immediately if you become aware of any unauthorized use of your account.
Fees: SellPass University may charge fees for the use of its platform and services, including hosting, marketing, and transaction fees. You agree to pay all fees associated with your use of SellPass University, as described on the SellPass University website or as otherwise agreed in writing between you and SellPass University.
Refunds: SellPass University’s refund policy is available on the SellPass University website. You agree to comply with this policy and to provide refunds to your customers as necessary. SellPass University reserves the right to refund customers on your behalf if SellPass University determines that a refund is appropriate.
Prohibited Conduct: You agree not to use SellPass University for any illegal, fraudulent, or unauthorized purpose. You agree not to upload any content that is defamatory, abusive, harassing, threatening, or otherwise offensive. You agree not to engage in any activity that interferes with or disrupts the SellPass University platform or its services.
Disclaimer of Warranties: SellPass University makes no warranties or representations about the suitability, reliability, availability, timeliness, or accuracy of the SellPass University platform or its services. SellPass University does not guarantee that the platform will be error-free or uninterrupted, or that any defects will be corrected.
Limitation of Liability: In no event will SellPass University be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of the SellPass University platform or its services, including but not limited to lost profits, lost data, or business interruption. SellPass University’s total liability to you for any claims arising out of or in connection with these terms of use will not exceed the fees paid by you to SellPass University in the twelve (12) months preceding the claim.
Indemnification: You agree to indemnify and hold harmless SellPass University, its affiliates, officers, directors, employees, and agents, from any claims, damages, or expenses (including reasonable attorneys’ fees) arising out of or in connection with your use of the SellPass University platform or your breach of these terms of use.
Governing Law: These terms of use will be governed by and construed in accordance with the laws of the state of California, without giving effect to any principles of conflicts of law. Any legal action or proceeding arising out of or in connection with these terms of use will be brought exclusively in the state or federal courts located in Santa Clara County, California.
Termination: SellPass University may terminate these terms of use or suspend your access to the platform at any time, with or without cause, without prior notice. Upon termination, all licenses granted to you will terminate, and you must immediately cease all use of the SellPass University platform and its services.
Changes to Terms of Use: SellPass University reserves the right to modify or update these terms of use at any time, without prior notice. Your continued use of the SellPass University platform after any such modifications or updates constitutes your acceptance of the new terms of use.
Entire Agreement: These terms of use constitute the entire agreement between you and SellPass University with respect to the use of the SellPass University platform and its services. Any other agreements between you and SellPass University regarding the SellPass University platform are superseded by these terms of use.
By using SellPass University to host your courses, you acknowledge that you have read, understood, and agreed to these terms of use. If you do not agree to these terms of use, you may not use SellPass University to host your courses.
